Walt Disney has said it will acquire Marvel Entertainment for $4 billion in cash and stocks.

The two companies announced the agreement via press release this morning. Under the terms of the agreement and based on the closing price of Disney on August 28 of this year, Marvel shareholders will receive a total of $30 per share in cash plus approximately 0.745 Disney shares for each Marvel share they own. Based on the closing price of Disney stock on Friday, August 28, the transaction value is $50 per Marvel share or approximately $4 billion.

While we're all well aware that 4 billion is no small chunk of change, the bigger news here is that Disney will not only acquire Marvel, but also it's portfolio of more than 5,000 characters meaning the company is going to gather revenue from any movies or games based on the likes of Iron Man, X-Men, or the Fantastic Four.

"This transaction combines Marvel's strong global brand and world-renowned library of characters including Iron Man, Spider-Man, X-Men, Captain America, Fantastic Four and Thor with Disney's creative skills, unparalleled global portfolio of entertainment properties, and a business structure that maximizes the value of creative properties across multiple platforms and territories," said Robert A. Iger, President and Chief Executive Officer of The Walt Disney Company.

Marvel CEO Ike Perlmutter seemed equally thrilled about the acquisition, calling Disney "the perfect home" for the Marvel portfolio. "This is an unparalleled opportunity for Marvel to build upon its vibrant brand and character properties by accessing Disney's tremendous global organization and infrastructure around the world," said Perlmutter.

Do you think the acquisition will be good for Disney and Marvel? What do you think it will do for the companies respective images? Let us know in the comments below!

In other words, expect "X-Men Babies", "Mickey, Donald, Goofey, and Wolverine take on the playground bullies", etc... etc... I always liked Marvel for the edginess of its lineup, Disney is the exact opposite of edgey.

I wonder what this will do to the Marvel-themed rides at Universal Studios theme parks.

This will prove interesting, also keeping in mind that Disney is the mind behind movies like Pirates of the Caribbean

I hate Disney and everything they do. I love Marvel and most things they do. This Disney/Marvel monstrosity is going to be a lose/lose situation for anyone old enough to realize that High School Musical and the Jonas Bros. are shit.

As if there weren't enough movie remakes of Marvel classics... Not that Disney does very many originals anyways, it's always remakes of ancient fairy-tale type stories. Film-School ruined Hollywood, rich-kids go to Film-School to learn how to make cookie-cutter movies, everything that comes out is either a remake, or sucks, or both....

So I guess no nudity in Marvel/Epic comics...

Just when I was going to start reading comics again after years of not touching them (with the exception the The Walking Dead) I can now say its not going to happen at least with Marvel Comics. This will undoubtedly effect the comics because Disney wouldn't want to be tied to heavy violence and controversial story lines. Everything is going to be dumbed down.

Things I think we can expect:

Dazzler staring Hannah Montana

The New Mutants will finally get a movie

Wolverine will become even more watered down/taller/less grumpy. Possibly even shaving off the sideburns. Also, no cigars

The upside is the possibility of Pixar being allowed to do something with a Marvel property, and the chance to wait in line for X-Men: The Ride.

For some reason, I hope to see a game title reads as "Marvel vs Capcom vs Disney." Seriously, who wouldn't want to punch the overly gay Mikey in the face? It would be better if we can fight Mikey Mouse with Bugs Bunny.

Why not? They already have the mutant powers of seducing teenage girls (and apparently some guys). As long as they end up being killed or at least seriously maimed in the end, i'll pay money to see it.

This is the destruction of the wondrous Marvel properties as Disney will utterly dumb/wimp them right down to mediocrity. Imagine if you will Wolverine "talking" his enemies into a stupor while the cops are on the way to clean them up instead of ripping them to shreds himself.

Great for your wallet Marvel, just so utterly bad for your hoards of raving fans.

I cannot believe that Marvel would sell out it's fans this way. If this makes it through the "monopoly" review and actually happens the losers will be the hordes of Marvel fans as Disney will make a mediocrity of the properties.

Disney bought Pixar a while ago and I'm pretty sure Pixar is still cranking out some incredible animated movies... and Disney made all three Pirate's movies, which were great. I wouldn't be too worried about Disney ruining anything, they couldn't possibly do any worse than Spiderman 3.
