Both have a good chance of unlocking cores, the black edition has an unlocked multiplier so will be easier to overclock but the non black edition is C3 not C2 so could potentially run cooler and overclock further.

I unlocked my non BE minutes after my first boot. It runs great. Seriously, a phenom II quad for under $90 cant be beat. Also, there's no guarantee that your's will unlock and be stable. I will tell you that I'm 2 for 2 since my PII 550 unlocked fine and I also bought an Athlon II X3 for my parents computer that unlocked and is running great. At any rate good luck man.
