I am trying to hook up a panasonic SA-HT743 Home Theatre to a Panasonic smart-tv (with 3 HDMI inputs) when there is A/ the usual LAN connection to the cable Co. and B/a second HDMI DVD player: So that all audio can be heard thru the Home Theatre speakers and none from the TV.

Solution
Connect the HTS and DVD to the TV with HDMI cables.
Connect the audio output of the TV to the aux input on the HTS. Whether you need a converter or not depends on the TV.
If you don't have any other sources (external like cable box) or don't use any internal TV sources (built in tuner or smart apps) then you could connect the DVD directly to the HTS aux input if it has an analog audio output.
The only audio input on your Panasonic HTS is analog audio. Without the TV model number I don't know what audio outputs is has.
If your TV has a headphone jack or analog audio output then use that connection to get sound from the TV to the HTS.
If the TV has digital audio output (optical or coax) then you will need a digital to analog converter like this one.

Check the TV manual on how to use the output. You will not get digital surround sound so select a surround mode on the HTS that you like. Start with Dolby.

thanks so much for that info. I don't have exact tv model# with me but what i do need is some basic info: Like, what should the set-up be? what cables go where?
Example: Do i use HDMI out on the HT and hook into tv's HDMI unused slot (HDMI input 2, for example) and can i use AUX IN on the HT for the second DVD player?
