Is this build OK for HTPC

Hi,
I've been overwhelmed trying to build my custom HTPC. I've read a number of posts on here for background info in making my choices. I'd be very appreciative if people could "vet"/comment of my selections before I buy anything.

Requirements:
------------------
The system will be used to play h.264 (MKV) video off a network attached storage device (Qnap TS-112) and for internet browsing / internet video.

It will be connected via HDMI to my AV receiver and outputted to my 32 inch TV.

I won't be playing any games on it and have no need for any optical drives.

As it will be in the living room next to the TV, noise is a concern.

It all looks good to me. If you wanted to, you could probably even step down a bit on the power supply. No real reason too except to maybe save a couple of bucks.

I have both my all-purpose system as well as my HTPC in the living room near my HDTV (small apartment). When it's quiet, I can hear the steady hum of my computers. They're almost as loud as the ceiling fan in my dining room (which I can also hear). Both systems are using stock coolers. I would note that when I'm actually watching TV or listening to music, I cannot hear either system.

I'd suggest not worrying about noise just yet. See if it becomes a problem before you actually spend money to address it.

Thanks for taking a look ! By the way, do you know if there is an important difference between the i3's currently on the market (important from the standpoint of building this htpc) ?
